Andrew M. Glatt
Andy is a native of southern California. Andy’s practice focuses on mergers, acquisitions, corporate reorganizations, corporate governance, real estate acquisitions and entity structuring, with a subspecialty in taxation. Andy is a Certified Tax Specialist (as authorized by the State Bar of California) and a California Certified Public Accountant (on “inactive status”). Representative transactions include (i) reorganizations/sales of closely held businesses with transaction values between $30 million through $200 million, many of which provided for a portion of the transaction value to be rolled over into equity of the acquiror with pre-tax dollars, (ii) negotiations for the purchases and sales of real estate with prices between $5 million and $80 million, including transactions involving complex like-kind 1031 exchange issues, and (iii) tax deferred spinoffs/split-ups to more efficiently structure of ownership of separate diverse businesses in the manufacturing and retail sales industries. Andy has been a member of the State Bar of California since 1985, and is a member of the San Diego County Bar Association. Before merging firms with Alan Rich & Associates, APLC in 2017 to form Judkins Glatt & Rich, LLP (of which he is the Managing Partner), Andy’s prior affiliations also include being a partner at a national law firm and spending his earlier years at KPMG. Andy received his law degree from the University of San Diego School of Law and a Bachelor of Science degree in Accounting from California State University at Long Beach.
Clive M. Essakow
Clive Essakow came to San Diego from Johannesburg, South Africa. His practice focuses on estate planning, trust and probate administration, business and corporate transactions, and employment law. Clive assists clients with creating and implementing estate plans customized to meet each client’s particular needs and prides himself on building long term relationships with his clients. He has extensive experience in assisting with complex trust administration involving large estates. Clive provides advice and support in business related matters from entity formation through the day-to-day needs of growing and developed businesses, including the preparation of employment related documentation and a wide variety of transactional agreements. Clive has been a member of the State Bar of California since 1996 and is also a member of the San Diego County Bar Association. He was admitted to practice as an attorney in South Africa in 1983 (currently on “inactive” status). Clive received a mediator credential from the National Conflict Resolution Center in 1996. Prior to that, Clive was the General Counsel for Glass South Africa (Pty) Ltd., an international glass manufacturing and distribution corporation, for approximately ten years. Clive received his law degree from the University of the Witwatersrand in 1978. He currently serves on the advisory board of directors of the Challenged Athletes Foundation.
Susan E. Bonanno
Susan Bonanno came to San Diego from North Carolina. Her practice focuses on real estate and business transactions. Susan has extensive experience in acquisitions, dispositions, financing, development and leasing of real estate, including preparation of CC&Rs, REAs and similar project documents for retail and commercial developments. Susan’s recent transactions include (i) the formation of a $100 million investment fund for the acquisition, development, management and sale of residential and commercial real estate projects, (ii) the acquisition and construction financing for a $24 million assisted living project, (iii) the acquisition, disposition and financing of over $40 million in distressed real estate assets, and (iv) the preparation of CC&Rs for a 12-acre family entertainment water park resort hotel and conference center in Southern California. Susan has been a member of the State Bar of California since 1994, and is a member of the San Diego County Bar Association. Susan received her law degree from California Western School of Law in 1993, and a Bachelor of Arts degree in Political Science from the University of North Carolina at Charlotte in 1990.
Alan S. Rich
Alan Rich has been practicing law in California for over 45 years. Prior to the merger with Judkins Glatt LLP, Alan was a partner in Alan Rich & Associates, APLC. Alan’s practice involves assisting owners and management of privately owned businesses, and he has helped guide numerous clients through successful ownership and operational transactions through sale and estate planning. Alan has lectured on tax planning at extension seminars at the University of California at San Diego, the University of California at Riverside and the University of Hawaii. He is a member of the State Bar of California, and is licensed to practice law before the California Supreme Court, United States District Court for Southern California and the United States Tax Court. Alan received his undergraduate degree from California Polytechnic College, Pomona (1968) and his juris doctorate from the University of California at Los Angeles (1971). He is a Certified Tax Specialist (as authorized by the California State Bar) and a Certified Public Accountant. Alan is a member of the San Diego County Bar Association.
Marc D. Buksbaum
Marc Buksbaum, a partner in our Carlsbad office, practices in the areas of commercial real estate transactions, mergers and acquisitions, business transactions, corporate/venture formations and financing. He received his undergraduate degree from Queens College of The City University of New York in 1993 and his law degree from California Western School of Law in 2002. Marc is licensed to practice law in California and New York and is a Certified Public Accountant (on “inactive status”) licensed in New York.
David H. Getz, Of Counsel
David Getz is a native of southern California. His practice focuses primarily on real estate and business matters tactically resolving disputed issues. Dave’s background and experience in handling litigation matters makes him a valuable resource for our real estate and business clients. In addition to directly handling matters such as commercial evictions and mediations, Dave provides needed insight in evaluating and managing potential claims, and oversees outside litigation counsel in larger insurance, business and real estate litigation matters, taking the lead in managing risk and negotiating settlements of disputes. In addition, Dave handles commercial leasing and trademark filings and strategy for a wide variety of businesses including national restaurant chains. Dave has been a member of the State Bar of California since 1986, and is a member of the San Diego County Bar Association. Before merging with Alan Rich & Associates in 2017, Dave was Of Counsel with Judkins Glatt LLP. Prior to that, Dave was a partner in a national law firm. Dave received his law degree from the University of San Diego School of Law in 1986 and his Bachelor of Arts degree in Economics with honors from the University of California at Santa Barbara in 1982.
Michael E. Hulme, Of Counsel
Michael Hulme is a native of southern California. His practice focuses on business, corporate and real estate transactions and related advice and planning. Mike has extensive experience in real estate transactions and mergers and acquisitions. Before joining the firm, Mike served as General Counsel of Culligan International Company, a Delaware corporation, and Associate General Counsel of its parent, United States Filter Corporation, from 1998-2003, where he handled numerous acquisitions and divestitures, including the sale of Culligan and several of its major subsidiaries. Prior to that, Mike was Vice President and Corporate Counsel for Forte Hotels, Inc., where he represented the company in numerous real property, franchise, acquisition, sale and development transactions, and provided advice regarding hospitality and general business matters. Mike has been a member of the State Bar of California since 1986, and is also a member of the San Diego County Bar Association. He received his law degree from the University of Southern California School of Law, and a Bachelor of Arts degree in Economics from the University of California at Davis.
Evan S. Ravich, Of Counsel
Evan S. Ravich has extensive experience in the acquisition, leasing, sale, exchange, financing and refinancing of commercial and multi-family property, as well as vacant land, in California and Arizona. His practice also includes the formation, structure and sale of corporations, partnerships, limited liability companies, joint ventures and tenancies-in-common. Transactions handled by Evan include the acquisition, by a single client, of nine apartment complexes in Arizona (totaling approximately 2800 units) and the simultaneous refinancing of loans secured by two apartment complexes in California in the aggregate$145 million range. Prior to joining the firm, Evan was Of Counsel for 17 years to a mid-sized San Diego business and real estate law firm. Evan has been a member of the California State Bar since 1981, and is a member of the San Diego County Bar Association. Evan received his LL.M in Taxation from New York University Law School in 1982, his law degree from the University of San Diego School of Law in 1981, and a Bachelor of Science degree in Economics from the Wharton School of the University of Pennsylvania in 1975.
